Welcome to ShanaiBD ("we", "our", "us"). These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and ShanaiBD governing your access to and use of our website, mobile applications, and related services (collectively, the "Platform").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Definitions

• "Platform" — The ShanaiBD website, mobile application, and all related digital services.
• "Vendor" — Any business, individual, or entity offering services through the Platform.
• "Client" — Any individual or entity seeking vendor services through the Platform.
• "Services" — The vendor listings, booking facilitation, communication tools, and related features provided by ShanaiBD.
• "Content" — All text, images, video, data, and other material published on the Platform.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or have legal guardian consent;
• Have the legal capacity to enter into binding contracts;
• Provide accurate, current, and complete registration information;
• Not be barred from using the Platform under any applicable law.

3. Account Registration & Security

Certain features require account creation. You agree to:

• Maintain the confidentiality of your login credentials;
• Accept full responsibility for all activities under your account;
• Notify us immediately of any unauthorized access or breach;
• Not share, transfer, or sell your account to third parties.

ShanaiBD reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, legal, or operational risk.

4. Nature of Services

ShanaiBD is a discovery and connection platform. We do not provide the event services listed on the Platform ourselves. Our role is limited to:

• Listing and promoting verified vendor profiles;
• Facilitating communication between Clients and Vendors;
• Providing booking enquiry tools and related utilities.

We are not a party to any agreement, transaction, or contract formed between a Client and a Vendor. All service delivery, pricing, timelines, warranties, and liabilities are strictly between the Client and the Vendor.

5. Vendor Obligations

Vendors agree to:

• Provide accurate, truthful, and up-to-date business information;
• Maintain all licenses, permits, and insurance required by law;
• Deliver services with professional care and skill;
• Respond to client enquiries within a reasonable time;
• Honour pricing, availability, and service terms as advertised;
• Comply with all applicable consumer protection laws.

Vendors are solely responsible for any claims, damages, or losses arising from their services.

6. Client Obligations

Clients agree to:

• Provide accurate booking information;
• Communicate respectfully with Vendors;
• Honour confirmed agreements and payment terms;
• Verify vendor credentials, insurance, and suitability before booking;
• Not misuse the Platform for fraudulent, abusive, or unlawful purposes.

7. Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose;
• Publish false, misleading, or defamatory content;
• Impersonate any person or entity;
• Harvest, scrape, or crawl data without written consent;
• Introduce viruses, malware, or harmful code;
• Attempt to gain unauthorized access to any system or account;
• Interfere with the proper operation of the Platform;
• Circumvent fees, verification, or security measures.

8. Intellectual Property

All Content on the Platform — including logos, trademarks, text, graphics, software, and design — is the property of ShanaiBD or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

By submitting Content to the Platform, you grant ShanaiBD a worldwide, royalty-free, non-exclusive license to use, display, and promote that Content in connection with our Services.

9. Third-Party Links

The Platform may contain links to third-party websites. ShanaiBD does not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party site.

10. Fees & Payments

Certain features may require payment. All fees are:

• Quoted in Bangladeshi Taka (BDT) unless stated otherwise;
• Non-refundable except as required by law or expressly stated;
• Subject to change with reasonable advance notice.

ShanaiBD does not process client-vendor payments. All such transactions occur directly between the parties.

11. Disclaimers

The Platform is provided on an "as is" and "as available" basis. ShanaiBD makes no warranties, express or implied, including but not limited to:

• Fitness for a particular purpose;
• Uninterrupted, error-free operation;
• Accuracy or reliability of vendor information;
• Quality, safety, or legality of services offered by Vendors.

12. Limitation of Liability

To the fullest extent permitted by law, ShanaiBD, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from:

• Your use or inability to use the Platform;
• Any transaction or dispute between you and a Vendor or Client;
• Unauthorized access to your account or data;
• Any third-party content or conduct.

Our total liability shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless ShanaiBD and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms;
• Your violation of any third-party right;
• Your use of the Platform;
• Content you submit or publish.

14. Termination

We may suspend or terminate your access at any time, with or without cause, and without prior notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (e.g., IP, liability, indemnity) shall remain in effect.

15. Modifications to Terms

ShanaiBD reserves the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use after changes constitutes acceptance.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any dispute arising shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

17. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt good-faith resolution through negotiation. If unresolved within 30 days, disputes may be referred to mediation or arbitration as permitted by law.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ShanaiBD and supersede all prior agreements.
